证券投资基金法的立法宗旨和基本原则是保护投资者的合法权益,惟有如此,才能保障基金市场的源泉和法律的公平。虽然草案规定了一系列内容用于保障投资者的合法权益,但还远远不够。笔者认为,要全面保护投资者的合法权益,应从投资基金专门法和相关法两个方面,在现有规定的基础上,通过强化监管、扩大基金份额持有人大会权限、规定基金管理公司负有对投资者进行基金常识教育的义务及有关公司法、民事诉讼法、信托法、不正当竞争法等相关法律的修改与完善入手。
The purpose and basic principle of securities investment fund law is to protect the legitimate rights and interests of investors. Only in this way can the source of the fund market and the law be protected. Although the draft stipulates a series of contents for safeguarding the legitimate rights and interests of investors, it is not enough. The author believes that, in order to fully protect the legitimate rights and interests of investors, we should strengthen the supervision and enlarge the authority of the fund share holders’ general meeting on the basis of the existing rules and stipulate that the fund management companies should It has the obligation to educate investors about common sense funds and the amendment and improvement of related laws such as Company Law, Civil Procedure Law, Trust Law and Unfair Competition Law.
