改革开放以来,我国企业掀起了跨国并购的热潮,随着国家政策的支持以及成功加入世界贸易组织,我国企业跨国并购取得了前所未有的大发展,也获得了较好的成绩。然而我国企业在“走出去”过程中,在实行海外并购时,还面临着一些风险,这将会限制我国企业跨国并购的步伐。因此,本文从跨国并购的概念及特点出发,研究分析了其中所存在的各种风险,并就此提出了一些风险的干预措施,希望能促进我国企业跨国并购又好又快地发展。
Since the reform and opening up, Chinese enterprises set off a wave of cross-border mergers and acquisitions. With the support of state policies and the successful accession to the World Trade Organization, the cross-border mergers and acquisitions of Chinese enterprises have made unprecedented progress and achieved good results. However, in the process of “going out ”, Chinese enterprises still face some risks when implementing overseas mergers and acquisitions, which will limit the pace of cross-border M & A of Chinese enterprises. Therefore, based on the concept and characteristics of cross-border M & A, this paper studies and analyzes the various risks in it, and puts forward some risk intervention measures in the hope of promoting the rapid and sound development of cross-border M & A in China.
