[案例]苏北某合资企业是苏北某县纺织厂与香港某投资公司共同投资的合资企业,经有关部门批准,1991年2月开业投产。它是苏北某县第一家与香港合资企业。根据合同规定,该企业开业时,双方投入注册资本分别是中方67.5万美元,港方22.5万美元,经营期限10年。但至1996年底,双方实际到帐注册资本56.4万美元,折合人民266.35万元。其中:中方投入39.48万美元,折合人民币186.49万元。港方以设备投入16.92万美元,折合人民币79.86万元。由于企业创办时,可行性调研论证走过场,加上国际市场行情的变化,其产品达不到质量要求。港方因此而产生畏难情绪,于1993年6月全部委托中方管理。该企业为了摆脱困境,利用苏南有利的地理环境和销售市场,于
[Case] A joint venture in northern Jiangsu Province is a joint venture invested by a county textile mill in northern Jiangsu and an investment company in Hong Kong. With the approval of relevant departments, it was opened and put into operation in February 1991. It is the first joint venture with a Hong Kong company in a county in northern Jiangsu Province. According to the provisions of the contract, when the business was opened, the registered capital of both parties was US$675,000 for China and US$225,000 for Hong Kong, with an operating period of 10 years. However, by the end of 1996, the two sides actually registered the registered capital of US$564,000, which was equivalent to RMB2.6635 million. Of which: China invested 390,800 US dollars, equivalent to 1,864,900 yuan. The Hong Kong side invested US$169,200 in equipment, equivalent to RMB798,600. Since the establishment of the company, the feasibility study and demonstration, and the changes in the international market conditions, its products do not meet the quality requirements. As a result, the Hong Kong side has developed a fear of difficulty. In June 1993, it completely entrusted the management of the Chinese side. In order to escape the predicament, the company uses the favorable geographical environment and sales market in southern Jiangsu Province.
