首席执行官(CEO)是公司治理结构改革创新的产物。与传统的公司经理相比,CEO 的职权扩大了;CEO 履行了一部分属于传统董事会的职权。尽管 CEO 职权发生了变化,CEO 仍属于公司的经理层。在 CEO 制度下,公司董事会的职责主要集中在公司的长期和重大的战略决策以及挑选和监督管理层;董事长的主要职责是召集和主持董事会,确保董事会议的顺利召开和董事会有效的履行其职责。面对公司治理结构的时代变迁和我国公司治理的实践,中国的《公司法》应该做出相应的修改,尤其是经理和董事会的相关制度需要调整。
The chief executive officer (CEO) is a product of the reform and innovation of the corporate governance structure. Compared with the traditional corporate manager, the CEO’s power is expanded; the CEO fulfills a part of the authority that belongs to the traditional board of directors. Despite changes in the CEO’s authority, the CEO still belongs to the company’s manager. Under the CEO system, the duties of the board of directors of the company mainly focus on the long-term and major strategic decisions of the company and the selection and supervision of the management team. The main responsibilities of the chairman of the board of directors are to convene and preside over the board of directors so as to ensure the smooth convening of board meetings and effective performance of the board of directors Duty. In the face of the changing times of corporate governance and the practice of corporate governance in our country, the “Company Law” of China should be amended accordingly. In particular, the relevant systems of managers and the board of directors need to be adjusted.
