本文从公司治理问题产生的根源着手并深入分析了公司内部专门监督机关在公司治理结构中存在的必要性,从不同角度进一步论证了我国引进独立董事制度的理论基础。
This article starts from the root of corporate governance problems and analyzes the necessity of the special supervisory organ in the company in the corporate governance structure. It further demonstrates the theoretical basis of introducing independent director system in China from different angles.
