公司监督机制是公司的利益相关人对公司经营、决策进行监察和督导的一系列行为与相关制度的总和。公司监督机制对于公司的稳健高效运行以及整个市场经济的稳定都具有重要作用。尽管目前我国公司基本建立起了监督机制,但立法的根本目的即让监督机制发挥实质意义上的积极作用,其实现并不尽如人意。我国的公司监督机制在制度建构上以及实际效用的实现上都还存在许多尚待完善之处。
