各省、自治区、直辖市人民政府,国务院各部委、各直属机构:今年以来,我国房地产领域外商投资增长较快,境外机构和个人在境内购买房地产也比较活跃。为促进房地产市场健康发展,经国务院同意,现就规范房地产市场外资准入和管理提出以下意见:一、规范外商投资房地产市场准入(一)境外机构和个人在境内投资购买非自用房地产,应当遵循商业存在的原则,按照外商投资房地产的有关规定,申请设立外商投资企业;经有关部门批准并办理有关登记后,方可按照核准的经营范围从事相关业务。(二)外商投资设立房地产企业,投资总额超过1000万美元(含1000万美元)的,注册资本金不得低于投资总额的50%。投资总额低于1000万美元的,注册资本金仍按现行规定执行。
People’s governments of provinces, autonomous regions and municipalities directly under the Central Government, ministries and commissions under the State Council, and their respective subordinate agencies: Since the beginning of this year, the foreign investment in real estate in our country has been growing rapidly. Foreign institutions and individuals have also been active in buying real estate in China. In order to promote the healthy development of the real estate market, with the approval of the State Council, the following opinions are hereby formulated on regulating the access and management of foreign investment in the real estate market: I. Regulating Market Access for Foreign-invested Real Estate (I) Overseas institutions and individuals investing in non-self- Follow the principle of commercial existence and apply for the establishment of a foreign-funded enterprise in accordance with the relevant provisions of the real estate with foreign investment; and only after the relevant department approves and handles the relevant registration, can it engage in relevant businesses in accordance with the approved scope of business. (2) Where a foreign investor sets up a real estate enterprise and the total investment exceeds 10 million U.S. dollars (including 10 million U.S. dollars), the registered capital shall not be less than 50% of the total investment. If the total investment is less than 10 million U.S. dollars, the registered capital will still be implemented according to the current regulations.
