公司的治理结构是一个公司的神经系统,指导着公司各个方面的工作和运行模式,一个上市公司的治理结构将对这个公司的发展起着决定性的作用。受市场经济体制和社会发展的影响,上市公司需要对自我的治理结构进行调整,以便在市场发展中占据有利的局面。我国的上市公司的治理结构存在非流动股股东的控股权利分化缓慢、股权结构畸形、股东权力分配不均、对经理人员约束力不足等问题。本文针对这些现象进行客观的分析,从解决股权过于集中的问题推动上市公司内部权力的平衡,对股票市场进行逐步的统一,从股权分配和职务分配的角度加强对经理的监督三个方面对上市公司治理结构的调整提出了建议。
The company’s governance structure is the nervous system of a company that guides the work and operation of all aspects of the company. The governance structure of a listed company will play a decisive role in the development of this company. Under the influence of market economy system and social development, listed companies need to adjust their self-governance structure so as to occupy a favorable position in market development. The governance structure of listed companies in our country is characterized by the slow differentiation of controlling rights of non-current shareholders, the malformation of shareholding structure, the uneven distribution of shareholders’ power, and the insufficient binding of managers. This article objectively analyzes these phenomena, promotes the balance of internal power of listed companies from the problem of over-concentration of shares, gradually unifies the stock market, and enhances the supervision of the managers from the perspective of equity distribution and job distribution. The adjustment of corporate governance put forward suggestions.
