以企业购并和资产重组为主要内容的产权交易,近百年来在全球此起彼伏,经久不衰。这种交易活动在市场经济发达国家往往是由投资银行、律师事务所、会计师事务所等中介机构直接撮合实现的。上海市政府近年来大力培育和发展产权交易所这一有形市场,并在最近颁布的《上海市产权交易管理办法》中明确禁止“在产交所外进行国有、集体产权交易”。一些读者对此颇为关注,询问为何公有产权不允许场外交易?为此,我们请上海产权交易市场的行政主管部门市国资办产权处的同志作一解答。
Property mergers and acquisitions and asset restructuring as the main content of property transactions, the past 100 years in the world one after another, enduring. This kind of trading activity in the market economy developed countries is often directly by the investment banks, law firms, accounting firms and other intermediaries to achieve. In recent years, the Shanghai municipal government has been vigorously nurturing and developing the tangible market of property rights exchanges and has explicitly prohibited the “trading of state-owned and collective property rights outside the nongovernmental exchanges” in the recently promulgated Shanghai Measures for the Administration of Property Transactions. Some readers are quite concerned about this and asked why public property does not allow over-the-counter transactions.
