国有企业的改革是我国经济体制改革的中心环节,本文回顾了我国国企改革实践的几个阶段,认为能否真正建立现代企业制度是国有企业的改革成功的关键。同时分析了目前我国在建立现代企业制度中存在的几个主要问题:国有股一股独大、普遍存在内部人控制、还未能实现政企分开。并提出了对策:1、减持国有股,实现股权多元化;2、完善独立董事制度;3、加快职业经理人市场的建立;4、建立完善的经理人激励约束机制。最后阐述国有企业改革还应坚持做到有所为有所不为。
The reform of state-owned enterprises is the central part of the reform of the economic system in our country. This article reviews several stages of the reform of state-owned enterprises in our country and holds the view that the establishment of a modern enterprise system is the key to the successful reform of state-owned enterprises. At the same time, it analyzes several main problems that exist in the establishment of modern enterprise system in our country at the same time: the domination of state-owned shares and the prevalence of insider control have not yet achieved the separation of government from enterprises. And put forward countermeasures: 1, reducing state-owned shares, equity diversification; 2, improve the system of independent directors; 3, to speed up the establishment of professional managers market; 4, establish and improve the incentive mechanism of managers. At last, we should insist on doing some things for the reform of state-owned enterprises.
