公司体制改革是一个复杂的系统工程 ,多种方案的差异导致的结果是不同的 ,为此需要对各种方案进行利弊比较研究 ,以期进行科学而合理的决断。本文通过比较分析和论证 ,认为积极推进国有独资保险公司的股份制改造 ,比继续保持现行管理体制的好处要多 ;将国有独资公司重组为母子形态的保险控股集团的整体改制 ,优于分拆改制 ;体制改革应整体推进 ,重点突破 ;在条件成熟后随即上市 ;在上市问题上要有一个通盘考虑 ,避免短期行为 ,先在境外上市 ,再在境内上市 ,利用两个资本市场的资源加速发展。
The reform of the corporate system is a complicated systematic project. The differences caused by the different schemes result in different results. Therefore, we need to compare the pros and cons of various schemes so as to make a scientific and reasonable decision. Through comparative analysis and demonstration, this paper argues that actively reforming the shareholding system of state-owned insurance companies is more beneficial than maintaining the current management system. The overall restructuring of the insurance holding group that reorganizes the wholly state-owned company into the mother-child structure is superior to that of the spin-off system ; Institutional reform should be promoted as a whole, focusing on breakthroughs; listed immediately after the conditions are ripe; on the issue of listing, there should be a general consideration to avoid short-term behavior, first be listed overseas and then be used domestically to capitalize on the growth of resources in the two capital markets .
