经营者集中是指经营者通过合并、资产购买、股份购买、经营协议、人事安排、技术控制等方式取得对其他经营者的控制权或者能够对其他经营者施加决定性影响的行为。在市场经济条件下,经营者集中是经常发生的,且大部分的经营者集中行为对经济发展具有推动作用。然而,当经营者的规模达到一定的水平时,就有可能产生垄断现象,进而限制或者阻碍市场中的有效竞争和经济的有序发展。本文以经营者集中为主题,旨在探讨我国经营者集中的发展情况以及我国《反垄断法》对经营者集中进行规制的现状分析。
Concentration of operators refers to the behavior that operators can gain control over other operators through mergers, asset purchases, share purchases, business agreements, personnel arrangements and technical controls, or can exert a decisive influence on other operators. Under the condition of market economy, concentration of managers is frequent, and most of the concentration of managers has a positive effect on economic development. However, when the scale of the operator reaches a certain level, it is possible to create a monopoly, thereby limiting or hindering effective competition in the market and the orderly development of the economy. This article focuses on the concentration of managers, with a view to exploring the development of concentration of operators in our country and the status quo analysis of the centralized regulation of operators by China’s “Anti-Monopoly Law.”
