梁清华撰文《我国众筹的法律困境及解决思路》指出,我国众筹面临法律困境。众筹在民事上没有合法的法律地位,处于无法可依的灰色地带;刑法上对非法集资定性不准确,处理手段不符合法律逻辑,没有为面向公众的合法的集资行为留下空间,很容易将众筹理解为非法集资,导致众筹经常游走在犯罪边缘。众筹是小微企业的直接融资的便捷方式,在我国中小企业融资极为艰难的情景下,我国法律上应当给予众筹以合法地位。
According to Liang Qinghua’s article, “Legal Difficulties and Solutions to Crowdfunds in China” pointed out that China’s crowdfunding faces legal difficulties. Crowdfunding does not have legal legal status in civil law and is in a gray area that can not be controlled. The Criminal Law does not define the illegal fund-raising qualitatively, and the means of handling do not conform to the logic of law. It does not make room for the legitimate fund-raising activities for the public. Understanding crowdfunders as illegal fundraising has led crowdfunding to swim often on the brink of crime. Crowdfunding is a convenient way to direct financing for small and micro enterprises. Given the extremely difficult financing of SMEs in our country, China’s law should give crowdfunding legal status.
