《中华人民共和国公司法》(以下简称:《公司法》)中明显具有强制性的特征,公司法在1993年颁布并实施,经1999年首次修订、2004年二次修订,于2005年修正,沿用至今。由于我国引入公司与公司法的时间较晚,对于公司治理方法尚未成熟,公司的管理还较为倾向于政府管制,政府管制不仅包括政府管制的方法、发展目标、发展政策和公司结构等,还包括司法对公司的一种强制性处理管制。本文针对公司法中的“政府管制”理论争议与立法政策进行分析,以西方发达国家的管制经验结合我国公司法中的不足提出讨论问题,并探讨了立法政策对公司法的影响。
The Company Law of the People’s Republic of China (hereinafter referred to as the “Company Law”) clearly has the mandatory characteristics. The Company Law was promulgated and implemented in 1993. It was first amended in 1999, re-amended in 2004 and amended in 2005, Still in use. Due to the late introduction of the Company and the Company Law in our country, the management of the Company is also more inclined to government regulation than the method of corporate governance. The government regulation includes not only the methods of government control, development goals, development policies and company structure, but also the Judicial enforcement of the company a mandatory control. This paper analyzes the theoretical controversy and legislative policy of “government regulation ” in the company law, discusses the issue with the regulatory experience of the western developed countries and the deficiencies in the company law of our country, and explores the impact of the legislative policy on the company law.
