动态股权制是对企业产权、分配、人事和劳动“四项制度”做出系统安排,并实行动态管理的企业制度,是建立现代企业制度的一种有效实现形式。它在企业产权制度改革的基础上,以企业的经营者和经营、管理、技术等关键岗位的人员(关键人)为主要对象,以出资人资本(当前主要是国有资本,也包括其他出资人资本)的终极所有权与分配权部分阶段性分离;及企业当年新增或减少净资产的一部分按贡献分配为主要形式,实施按基本劳动分配、按资本分配、按贡献分配“三位一体”的分配制度;建立依法选举、竞争 The dynamic shareholding system is a systematic arrangement for the enterprise’s property rights, distribution, personnel, and labor “four systems ” and the implementation of dynamic management of the enterprise system is an effective form of the establishment of a modern enterprise system.
