在传统契约理论的基础上,结合行为契约理论的最新研究成果,分析社会偏好下的契约治理特征与契约设计原则,可以发现基于社会偏好的行为规范可以在相当程度上解决不完备契约中的激励问题,发挥着与正式履约制度互为补充的作用。所以一个好的治理结构应该是效率与公平、公正之间的权衡,社会偏好能够发挥良性作用才是和谐治理的精髓,一个好的治理结构不应该假设契约当事人是完全自私自利的。
Based on the traditional contract theory and the latest research results of behavioral contract theory, this paper analyzes the characteristics of contract governance and contract design under social preferences. It can be found that behavioral norms based on social preferences can to a considerable extent solve the incentive in incomplete contracts Issue, play a complementary role with the system of formal compliance. Therefore, a good governance structure should be the trade-off between efficiency and fairness and justice. Social preferences can play a virtuous role as the essence of harmonious governance. A good governance structure should not assume that the parties involved in a contract are totally selfish.
