北京市政路桥建设控股(集团)有限公司(以下简称控股公司)成立以来,通过业务重组资源整合,组建了市政、路桥、建材、养护、科技五大专业化集团公司,每个集团公司都是根据《公司法》组建的公司制企业,并按《公司法》要求建立了董事会、监事会、经营层等集团公司法人治理结构。但是,法人治理结构机制建设及运行情况,与现代企业制度要求还有较大差距。近期,就控股公司法人治理结构建设和运行问题,我们先后到市政、路桥、建材、养护、科技五大集团等进行调研,对集团公司完善法人治理结构,规范运行机制有了一些新的认识。
Since the founding of Beijing Municipal Government Road and Bridge Construction Holdings (Group) Co., Ltd. (hereinafter referred to as the holding company), Beijing Municipal Government has set up five specialized group companies of municipal administration, road and bridge, building materials, maintenance and science and technology through integration of business reorganization resources. Each group company is based on “ Company Law ”established by the company-owned enterprises, and“ Company Law ”required the establishment of the board of directors, the board of supervisors, the operating company and other corporate governance structure. However, the construction and operation of corporate governance structure and mechanism are far from the requirements of the modern enterprise system. Recently, with respect to the construction and operation of the corporate governance structure of the holding company, we successively conducted investigations and studies on the municipal government, road and bridge, building materials, maintenance and science and technology groups, and made some new understandings on the improvement of the corporate governance structure and standard operation mechanism of the group companies.
