新三板挂牌企业大多属于成长初期的中小型企业,类型也都集中在人力资本密集、对科研人才依赖度高的行业,因此为了优化股权结构、扩大生产规模、增强团队稳定性、提高公司的管理效率,股权激励成为了挂牌企业成长的助推器,备受关注。但由于新三板的业务规则中对于股权激励没有较多的规定,我国目前的实务操作中只能大致参考上市公司的有关规定,使得许多新三板企业面临的独特问题无从解决。于是本文从股权激励的介绍开始,引入到新三板挂牌企业股权激励的实证研究,分析了目前股权激励制度在新三板中的应用情况,重点介绍了实施股权激励的几种模式,发现了其中所存在问题,并对此提出了几点制度完善建议。
Most of the new three-board listed companies belong to the small and medium-sized enterprises in their early stages of growth. Their types are also concentrated in industries with high human capital and high reliance on scientific research personnel. Therefore, this article starts with the introduction of equity incentive, introduces the empirical research of equity incentive of listed companies in new three boards, analyzes the application of the current equity incentive system in the new three boards, emphatically introduces several modes of implementing equity incentive, There are problems, and put forward some suggestions on how to perfect the system.
