按照我国《个人独资企业法》规定,个人独资企业的投资人对企业债务负有无限责任。出于个人独资企业的投资人是一个自然人.对企业出资多少、是否追加资金或减少资金、采取什么样的经营方式等事项均由投资人决定。从权利和义务上看,出资人与企业是不可分割的。投资人对企业的债务承担无限责任,即当企业的资产不足以清偿到期债务的.投资人应以自己个人的全部财产来清偿.这实际上将企业的经营与投资人的责任连为一体。正因为如此,《个人独资企业法》没有对投资者注册资金的最低限额作明确规定。
