为拓宽东道国的公共政策空间,IIAs引入一般例外条款成为趋势,其允许东道国为实现正当公共政策目标而采取背离IIAs其他各项实体性义务的措施。但是,目前存在概念不清、早期条款规定过于简单、新一代条款存在设计缺陷等问题。在国际投资条约更新换代的背景下,有必要以平衡东道国公共利益和投资者财产权益为指导原则妥善构建IIAs一般例外条款,尤其是要明确其能否免除东道国的补偿责任及免除范围,这亦适用于国际投资双重身份显化的我国。
In order to broaden the host country’s public policy space, the introduction of a general exception to IIAs became a trend that allowed host countries to take steps that departed from the other substantive obligations of IIAs in order to achieve proper public policy goals. However, the current concept is unclear. The early provisions are too simple and the new ones have design flaws. In the context of the renewal of international investment treaties, it is necessary to properly construct the IIAs general exception in the principle of balancing the public interest of the host country and the investors’ property rights. In particular, it is necessary to clarify whether it can exempt the host country from liability and the scope of exemption. Apply to the dual identity of international investment in China.
