处于后立法时代的中国公司法发展之路中面对的最主要任务,是该怎样实现由文本主义公司法转变为实践主义公司法的目标。其关键之处就是转变公司法的可诉性。现行的各项公司法无论是在程序设计层面还是在实体法层面均表现出可诉性劣汰。如果要改善这种状况,就需要从宏观和微观两个视域双管齐下。宏观视域立足于改变现有公司法的逻辑方式,从路径设计方面改变公司法方向;微观途径通过对公司法实体价值重新把握,具体的做法是针对公司法可诉性提出一些创造性的构想,使其能达成将实体法、司法介入和主体参与这三方面合而为一的新型公司法可诉性逻辑的最终目标。因此笔者认为应该从根本上解决这一问题,提升我国司法发展。
In the post-legislative era, the most important task faced by the development of the Chinese company law is how to achieve the goal of transforming from the text-based company law to the substantive company law. The key is to change the lawsuit of the company. The current company law shows that the lawsuit is fittest either at the programming level or the substantive level. If you want to improve this situation, you need from the macro and micro two-pronged approach. Based on the change of the logical way of the existing company law, the macro sight changes the direction of company law from the aspect of route design. The micro way re-grasps the value of the entity law of the company law. The concrete approach is to put forward some creative ideas for the suitability of company law, So that it can reach the ultimate goal of combining the substantive law, judicial intervention and the participation of the main body of these three aspects into a new type of company lawsuit logic. Therefore, I believe that this issue should be fundamentally solved and the development of our judiciary should be promoted.
