租约仲裁条款能否并入提单并约束提单持有人问题始终是世界各国海商法领域争论最大、历时最久的“老问题”。由于我国海商法和仲裁法都对其没有明确规定,加之该问题本身的复杂性,导致司法界对此类案件的审查标准莫衷一是。更有人将该问题比喻成我国海商法领域的“灰色地带”。笔者在此试图从司法审查的实践角度出发,建立对这个“老问题”的一种新的研究方法,以期抛砖引玉,建议立法。
Whether the lease arbitration clause can be incorporated into the bill of lading and bind the holder of the bill of lading has always been the most controversial and lasted “old problem” in the field of maritime law in all countries in the world. Due to the fact that China’s maritime law and arbitration law do not clearly stipulate it and the complexity of the issue itself, the judiciary’s review of such cases is far from satisfactory. Some people compare this issue with the “gray area” in the field of maritime law in our country. In this paper, the author attempts to establish a new research method for this “old problem” from the perspective of judicial review practice, with a view to initiating and recommending legislation.
