本文以20世纪80年代以来国际投资自由化的趋势为背景,以我国建立外资并购安全审查制度的必要性和合理性为基础,对我国新近外资并购安全新规进行考察,参照美国外资并购安全审查制度对我国的外资并购安全审查制度进行分析,并在此基础上对我国外资并购安全审查的完善与发展提出建设性的意见。
Based on the trend of international investment liberalization since the 1980s and based on the necessity and rationality of our country’s establishment of the safety review system of foreign M & A, this paper examines the new safety rules of M & A in our country and makes reference to the safety review of M & A of foreign investment in the United States System to analyze the system of censorship of foreign M & A in our country, and on this basis, we put forward constructive suggestions on the perfection and development of the safety review of foreign M & A in our country.
