本文认为,因权力结构的不对称,交易双方的地位发生了从平等交易关系到不平等雇佣关系的转换。所以,企业在本质上并不是单纯的市场契约,而是一个不对称的权力契约。在企业签约的过程中,不对称程度越突出,企业契约越倾向于有权力的一方拥有控制权。所以,争夺权力,特别是企业控制权成为企业治理的常态。最后介绍了一下企业权力的分配与均衡。 This paper argues that due to the asymmetric power structure, the status of the parties to the transaction has shifted from the equal trade relationship to the unequal employment relationship. Therefore, the enterprise is not in essence a mere market contract, but an asymmetric power contract. In the process of signing an enterprise, the more prominent the degree of asymmetry, the more likely the enterprise contract has control over the powerful party. Therefore, the fight for power, especially corporate control has become the norm of corporate governance. Finally, I introduced the allocation and balance of power in the enterprise.
