证券市场是市场经济的重要组成部分,具有很强的风险性。证券市场作为一个风险市场比实物市场更渴望公平。证券市场内幕交易严重违反了证券市场“公平、公开、公正”的原则,侵犯了投资者的平等知情权和财产收益,影响证券市场功能的发挥。对内幕交易进行法律规制是保障证券市场平稳健康运行,促进经济发展的重中之重。本文先从证券内幕交易入手来详细界定何为内幕交易,再来探究如何有效的规制证券内幕交易行为,整顿证券市场。
Stock market is an important part of the market economy, with strong risk. The stock market as a risk market is more eager than the physical market. The insider trading in securities market seriously violates the principle of “fairness, openness and fairness” in the securities market, infringes investors’ equal rights of information and property, and affects the functions of the securities market. Legal regulation of insider trading is a top priority for ensuring the smooth and healthy operation of the securities market and promoting economic development.
