公司包括无限公司,有限责任公司,两合公司,股份公司等多种形式,各种公司类型对发起人的要求不同。20世纪初,关于公司的发起人资格的问题面临了新的挑战——一人是否能够设立有限责任公司。新世纪伊始,许多学者认为我国的公司法还需要大力改革,专门成立了“公司法修改”研究小组,并提出了公司法修改草案的建议稿,其中对于一人有限责任公司进行了专门的立法,本文以一人公司的历史为基点,参酌我国的国情,重点探悉我国建立一人公司的必要性。
Companies include unlimited companies, limited liability companies, two companies, joint-stock companies and other forms, various types of companies on the promoters of different requirements. At the beginning of the 20th century, the issue of company sponsor eligibility faced a new challenge - whether one could set up a limited liability company. At the beginning of the new century, many scholars think that the company law of our country still needs to be drastically reformed, and a research group of “Company Law Amendment” has been set up and a draft of company law revision proposal has been put forward. For one-person limited liability company, This article, based on the history of one-man company, takes into consideration China’s national conditions and focuses on the necessity of establishing a one-person company in our country.
