近年来,中国企业海外并购异常繁荣,而海外的建筑工程机械行业并购交易额占整个制造业并购的45%。然而,国内在工程机械企业海外并购的研究中,许多没有结合具体的企业管理和发展现状,没有深入揭示企业海外并购整合的现实困难。本文基于当今中国企业海外并购的相关背景,运用案例分析,介绍了整个海外工程机械行业的并购过程。在工程机械行业企业并购实践中,结合三一重工的海外并购德国普茨茅斯迈斯特的动机,分析三一重工海外并购的主要风险,以及整合过程中遭遇的问题和解决方法。给工程机械企业海外并购提供了借鉴和思考。
In recent years, overseas mergers and acquisitions by Chinese enterprises have been exceptionally prosperous, while M & A transactions in construction and construction machinery overseas account for 45% of the total M & A in manufacturing. However, many domestic research on overseas M & A of construction machinery enterprises did not combine the actual status of enterprise management and development, and did not reveal the real difficulties in the integration of overseas M & A. In the practice of construction machinery industry M & A, combined with Sany’s overseas mergers and acquisitions Portsmouth, Meiste motivation to analyze the Sany overseas M & A main risks and problems encountered in the integration process and solutions. It provides references and thoughts for overseas M & A of construction machinery enterprises.
