在最近几十年中,西方经济生活中以金融市场为媒介的企业并购浪潮此起彼伏,使经营欠佳的公司经理们如临大敌,惶惶不可终日。在此背景下,各式各样的反收购策略纷纷出台,对推动反收购行为起了一定作用。虽然西方企业的制度和环境有别于我国企业,但许多反收购策略对我国仍不失为一种借鉴。以下列举几种,以期对我国反收购行为当事人有所启发。
In recent decades, the wave of mergers and acquisitions in the western economic life with financial markets as a medium has caused the company’s poor managers to face the worst enemy. In this context, a variety of anti-takeover strategies have been introduced, which has played a role in promoting anti-takeover behavior. Although the system and environment of Western companies are different from those of Chinese enterprises, many counter-acquisition strategies still serve as a reference for China. Several kinds are listed below in order to inspire the parties involved in the anti-takeover behavior in China.
