英国的银行重整立法长期以来奉行司法型重整模式,在法院的主导下,适用破产法上的公司管理程序对问题银行实施重整。由于2007年爆发的金融危机暴露了这一重整模式存在的诸多弊端,英国在危机后进行的立法改革中做出重大调整,通过特别解决机制下的稳定化措施和银行管理程序,重新建立起以监管型重整为核心的银行重整制度。我国应当在充分借鉴英国立法经验的基础上,于破产法之外构建适用于银行重整的特殊规则,在赋予监管机构银行重整主导权的同时,加强对各利益相关方的权利保护与救济。
The Bank’s banking reform legislation in the United Kingdom has long pursued the pattern of judicial reorganization. Under the guidance of the court, the Bank has applied the corporate management procedures under the Bankruptcy Law to reorganize the troubled banks. As the financial crisis that broke out in 2007 exposed many shortcomings in this restructuring model, the United Kingdom made major adjustments in the legislative reform following the crisis and re-established through stabilization measures and bank management procedures under a special settlement mechanism Bank restructuring with the core of regulatory reform. On the basis of fully drawing on the experience of British legislation, our country should construct special rules for bank restructuring outside the Bankruptcy Law. While giving the regulatory authority the power to reform banks, we should strengthen the protection and remedies of the rights of all stakeholders. .
