对外经济贸易合同是法律性文件,其条款内容必须严格要求。一、全面性:防止遗漏,以免日后造成纠纷; 二、合法性:避免和有关国家的法律、法令、条例相抵触; 三、明确性:避免模棱两可,防止解释上的分岐; 四、主动性:防止我方未留回旋余地,而给对方留有空隙漏洞,以致日后给人以可乘之机而陷入被动。为了达到上述要求,合同用词就必须严格、正规和确切,用语力求完整、全面和合乎法律条文规定。它和一般贸易书信使用自然、亲切的语言风格不同,读起来没有书信那样流畅。现就英语合同的用词用语特色,举例说明如下:
Foreign economic and trade contracts are legal documents, and the terms of their articles must be strictly required. I. Comprehensiveness: Prevent omissions, so as not to cause disputes in the future; Second, legitimacy: Avoid conflicts with the laws, decrees and regulations of the relevant countries; 3. Clarity: Avoid ambiguity and prevent delivery on interpretation; IV. Initiative: We have prevented our side from leaving room for leeway and left gaps in the other side. This has given us an opportunity to become passive in the future. In order to achieve the above requirements, the terms used in the contract must be strict, formal and precise, and the language should strive to be complete, comprehensive and comply with legal provisions.
