我国的证券市场股权高度集中且大部分股份不能流通,导致大股东侵害中小股东利益的行为加剧。针对大股东侵害中小股东利益的现状,我们分析大股东侵害中小股东利益的原因有公司治理结构不完善、保护中小股东利益的法律法规体系不完善、信息披露制度不完善以及中小股东自身的原因。 China’s stock market equity highly concentrated and most of the shares can not be circulated, leading to substantial shareholders infringe the interests of minority shareholders intensified. In view of the current situation that the major shareholder infringes on the interests of the minority shareholders, we analyze the reasons that the major shareholders infringe the interests of the minority shareholders because of the imperfect corporate governance structure, the laws and regulations system to protect the interests of minority shareholders, the imperfect information disclosure system and the minority shareholders themselves.
