随着外商投资企业在我国的设立,董事会这一管理体制被同时引入,这一模式通过《中外合资经营企业法》、《中外合作经营企业法》、《外资企业法》、《中华人民共和国企业法人登记管理条例》等法律固定下来,形成了企业的最高权力机构,确定了董事会在外商投资企业中的法律地位。这一经营管理体制在深圳经济特区已为越来越多的人所熟悉,并同时被越来越多的国营企业和内联企业所“移植”。但是董事会的作用发挥得如何,在不同的企业有着相当大的差异;董事会应该发挥什么样的作用,也有着不同的理解。因此,更多地了解和认识董事会,更好地发挥董事会的作用,对保证企业的健康发展,增强企业的活力及其后劲是十分必要的。笔者就几年来特区企业董事会的实际运作情况概述如下。
With the establishment of foreign-invested enterprises in China, the management system of the board of directors has been introduced at the same time. This model has passed the “Sino-Foreign Equity Joint Ventures Law,” “Chinese-Foreign Cooperation in Joint Venture Law,” “Foreign-Funded Enterprise Law,” and “People’s Republic of China Enterprise. The Legal Persons Registration Management Regulations and other laws have been fixed to form the highest authority of the enterprise and the legal status of the board of directors in foreign-invested enterprises has been determined. This operating management system has been familiar to more and more people in the Shenzhen Special Economic Zone and has been ”transplanted" by more and more state-owned enterprises and inland enterprises. But how does the role of the board play, there are considerable differences in different companies; what role the board should play, but also have different understanding. Therefore, it is necessary to understand more and understand the board of directors and better play the role of the board of directors in order to ensure the healthy development of the company and enhance its vitality and stamina. The author summarizes the actual operation of the board of directors of the SEZ for several years as follows.
