累积投票制度是各国《公司法》中规定的对中小股东权利的一种保护方式,有利于中小股东集中使用自己的投票权,选出自己满意的董事、监事进入公司的领导集体。尽管我国现行《公司法》也对累积投票制度作了明确的规定,但是由于我国相关的配套立法尚不完善,累积投票制度在我国尚未能充分发挥其积极作用。因此,为了促进我国经济的发展,调动中小股东的积极性,还需要在具体立法上加强对中小股东的权利保护,促进企业的健康、和谐发展。
The cumulative voting system is a protection method for the rights of minority shareholders set forth in the Company Law of each country, which helps small and medium-sized shareholders to use their voting rights collectively and select their own satisfied directors and supervisors to enter the leadership collective of the company. Although the current “Company Law” of our country also stipulates the cumulative voting system clearly, due to the imperfect legislation in our country, the cumulative voting system in our country has not been able to give full play to its positive role. Therefore, in order to promote the development of our economy and arouse the enthusiasm of minority shareholders, we also need to strengthen the protection of the rights of minority shareholders in specific legislation and promote the healthy and harmonious development of enterprises.
