股份有限公司和有限责任公司,作为现代企业制度的主要形式,需要具备各种条件,而这些条件又不是一蹴而就的,为此,我们在认真总结承包经营经验的基础上,模拟股份制的运作方式,决定推行“净资产全员风险抵押承包责任制”,加快经营机制的转换,早日将我公司建设成以技术密集、管理密集的施工总承包公司为主体的股份制企业集团公司,与现代企业制度接轨。 我公司推行承包经营责任制10年来,积累了不少经验,取得了明显的效果。但现行的承包经营责任制还不够完善,一些深层次问题仍得不到很好解决,突出表现在:承包基数的确定不尽合理,未与净资产挂钩,承包基数按人头下达带有人为因索;国有资产实现不了保值和增值;在内部层层承包时,产生讨价还价现象,承包基数不好确定,负盈不负亏,经营者

However, the current responsibility system for contracted operations is still not perfect, and some of the deep-level issues are still not well resolved. The outstanding performance is reflected in the fact that the determination of the contracting base is not reasonable, and it is not linked to net assets. The base of contracting is subject to human factors. Demand; state-owned assets cannot be maintained and added value; when contracted at an internal level, there is a phenomenon of bargaining, the contracting base is not well defined, and negative income does not incur losses.
