国有控股上市公司高管薪酬问题治理是我国公司治理的难题。本文从国有控股上市公司的特殊性入手,分析这类公司高管薪酬决策机制与监督上存在的问题,提出着力股权结构改革,完善独立董事制度,强制引入职工董事,完善监事会制度等解决方案,对国有控股上市公司高管薪酬进行法律规制。
The governance of top management compensation in state-controlled listed companies is a difficult problem in corporate governance in our country. This article starts from the peculiarity of the state-controlled listed companies, analyzes the problems existing in the decision-making mechanism and supervision of such executives, puts forward some solutions such as the reform of the ownership structure, the improvement of the independent director system, the mandatory introduction of the staff directors and the improvement of the supervisory board system, Laws and Regulations on Top Management Compensation of State-controlled Listed Companies.
