本文认为 ,公司治理问题实质上是决定公司价值的两大要素的所有者之间的结合问题 ,即签约问题 ,解决公司治理问题就是要设计使两大要素的结合成本或签约成本最小化 ,从而公司价值最大化的公司治理机制。
This paper argues that the problem of corporate governance is essentially the combination of the two factors that determine the value of the company. That is, the problem of signing a contract is that the problem of corporate governance is designed to minimize the cost of combining or contracting the two factors. Corporate governance maximizes company value.
