目前,建立现代企业制度的试点工作已全面展开,在进行公司化改组的国有企业,无一例外地成立了股东会、董事会、监事会。但在实际运作中并没有严格按照这套法人治理结构议事规则办,内部治理结构还是与国有企业的管理体制有着千丝万缕的联系。这与推行现代企业制度,塑造社会主义市场经济的微观基础是不相适应的,所以,需要我们进一步从理论到实践加以探讨和研究。
At present, the pilot project to establish a modern enterprise system has been fully carried out. The state-owned enterprises that have undergone corporate restructuring have established shareholder meetings, board meetings, and board of supervisors without exception. However, in actual operation, it has not strictly followed the rules of procedure of this legal person governance structure. The internal governance structure is still inextricably linked with the management system of state-owned enterprises. This is incompatible with the implementation of a modern enterprise system and the shaping of the micro-foundation of the socialist market economy. Therefore, we need to further discuss and study it from theory to practice.
