90年代以来,广东在原来兴办“三资”企业的基础上,又开辟了一种利用国外直接投资的方式——整厂折股,运用股权投资的形式与外商合办股份有限公司。即将国内老企业的建筑物、土地使用权、机器设备、工业产权、专有技术等折股作价与外商合资,引进国外资本、技术和管理对老企业进行设备和技术的更新改造,提高原有产品水平和档次,拓展内外销渠道。有目的地选择一批国营老企业进行整厂折股或部分折股,通过引进外资和先进技术加速改造步伐,能更好地使“老字号”释放出新能量。近两年来,广东、上海等地大力推行老企业整厂折股进行合资和老企业引入外资搞“嫁接”的办法,取得较好成绩。
