我应日本通产省的邀请,参加了第四期中国企业财务管理者研修班,到日本海外技术者研修协会东京研修中心进行了为期四周的考察研修学习。现将有关日本股票上市情况和企业管理特色简介如下: 一、日本股票上市情况 日本政府在股份公司的管理上有着很严格的制度。这种严格的制度主要表现在对股票上市前的审查方面。日本法律规定如果某一种股票要在证券交易所上市,必须具备6个条件: (1) 发行股数600万股以上。 (2) 股东数1000人以上。 (3) 利润总额达到:a.三年前2亿日元以上。b.二年前3亿日元以上。c.上市前一年4亿日元以上。
At the invitation of Japan’s Ministry of International Trade and Industry, I participated in the fourth training seminar for Chinese corporate finance managers and conducted a four-year study tour at the Tokyo Overseas Training Center. The following is a summary of the listing of Japanese stocks and the characteristics of corporate management. I. Listing of Japanese stocks The Japanese government has a very strict system for the management of stock companies. This strict system is mainly reflected in the review of stocks before they are listed. Japanese law requires that if a stock is to be listed on a stock exchange, it must have six conditions: (1) More than six million shares are issued. (2) More than 1,000 shareholders. (3) Total profit reached: a. More than 200 million yen three years ago. b. More than 300 million yen two years ago. c. 400 million yen or more in the year before listing.
