国有企业重组并购成功与否的关键因素是如何妥善安置职工。目前,职工安置方式主要有下岗、内退等。但是在安置过程中存在一些问题,如社会保障体系不健全等。2004年7月,在已与云南省政府签订了独家合作意向书的情况下,世界第一大水泥生产商拉法基被香港瑞安集团口中夺食,致使对云南最大的两家水泥厂的并购宣告失败。原因是瑞安集团能更好地解决人员安置问题。
The key factor for the successful mergers and acquisitions of state-owned enterprises is how to properly resettle workers. At present, the main means of resettlement workers laid off, such as retreat. However, there are some problems in the resettlement process, such as the unsound social security system. The reason is that Ryan Group can better solve the problem of personnel placement.
