将国有企业逐步改造为有限责任公司或股份有限公司,这是国有大中型企业深化改革、转换机制,建立现代企业制度的目标模式。企业实行公司制改造的目的,是要进一步确定国家与企业的产权关系,进一步完善企业与职工的劳动关系,使企业真正成为“自主经营、自负盈亏、自我约束、自我发展”的经济实体,以创造出更高的经济效益和社会效益。根据我国《公司法》规定,实行公司制的企业,无论是有限责任公司,还是股份有限公司,都应建立起新的管理体制,即都应有股东会、董事会、监事会、经理。
