从“个人本位主义”到“董事会中心主义”的演变,使得公司责任主体虚化。但同时公司社会责任不仅意味着公司对社会的贡献,更是公司发展,实现股东利益最大化的必要前提。本文以《公司法》对公司的社会责任界定为契机,从公司社会责任的具体法律制度的构建为视点,立足公司社会责任的界定,分析社会责任的性质,并从一个实用法学的角度,探讨社会责任具体形态实现的途径。
From the evolution of “individualism” to “board-centerism”, the main body of corporate responsibility has been blunted. However, at the same time, corporate social responsibility not only means the company’s contribution to society, but also the necessary prerequisite for the development of the company and the maximization of the shareholders’ interests.
