国际商事条约和国际商事惯例是国际商法的主要渊源。但两者作为国际商法渊源各有其利弊。国际商事条约的一些内容往往是对国际商事习惯和惯例的编纂,但国际商事习惯和惯例并不因为被编纂就消失了。相反,在作为国际商事条约的一部分而被编纂的国际商事习惯和惯例对缔约国具有确定的约束力的同时,国际商事习惯和惯例对非缔约国仍然具有约束力。在具体的商事案件中,国际商事条约和国际商事惯例的适用因国际商事条约的性质不同而有所不同。基于此,我国《民法通则》第142条的规定应予以重新考虑并加以完善。
International commercial treaties and international commercial practices are the main sources of international commercial law. However, both have their pros and cons as sources of international commercial law. Some elements of an international commercial treaty are often codifications of the customs and practices of international commerce, but international commercial practices and practices disappear without being codified. In contrast, international business practices and practices, which are codified as part of an international commercial treaty, are binding on the State party and international commercial practices and practices remain binding on non-parties. In specific commercial cases, the application of international commercial treaties and international commercial practices varies according to the nature of international commercial treaties. Based on this, the provisions of Article 142 of the “General Principles of Civil Law” in our country should be reconsidered and improved.
