会员与组织之间的矛盾是我国集体管理组织面临的主要矛盾之一,这一矛盾主要由组织内部治理失灵所造成。我国集体管理组织内部治理失灵主要表现为治理的有效性、透明性、准确性以及参与性的缺失,而导致内部治理失灵的主要原因是治理经验的匮乏、组织的非营利属性、粗糙的会员制、会员大会权力的虚置以及代理人问题等。解决内部治理失灵首先应确立相关的内部治理基本原则,笔者在Sinacore-Guinn与Ficsor的相关理论基础上,总结出了集体管理组织内部治理的私权原则、最低限度集体管理原则、公平、平等原则以及会员权利人中心原则。
The contradiction between members and organizations is one of the major contradictions facing the collective management organizations in our country. This contradiction is mainly caused by the failure of internal governance. The failure of internal governance of the collective management organizations in our country mainly shows the effectiveness, transparency, accuracy and lack of participation of governance. The main reasons leading to the failure of internal governance are the lack of governance experience, the non-profit nature of the organization and the rough membership , The empowerment of the general assembly of members and the agent issues. To solve the problem of internal governance failure, we should first establish the basic principles of internal governance. Based on the related theories of Sinacore-Guinn and Ficsor, the author summarizes the principle of private ownership of collective governance, the principle of collective management at a minimum, the principle of fairness and equality As well as the principle of membership rights center.
