State-owned enterprise reform is a key factor in the overall reform scheme of the country’s economic system, while the assets disposal of state land remains one of the most important parts in state-owned enterprise reform efforts. According to the current regulations, utilization of state-owned land appropriated in the process of stateowned enterprise reform varies includes transfer of land use right, land leasing, pooling of land use right in shareholding establishments, state-owned land franchising, and reservation of land appropriated. Among those, the pooling of state land and franchising are two special ways of disposing of state land, for which the country’s corresponding laws and rules set no clear boundaries and a lot of problems would occur during practical transactions. Therefore, they become key issues that would be intensively analyzed and discussed in a comparative way.
