三鹿奶粉事件以来,食品企业的诚信问题不断被曝光。在如此诚信缺失,外部法律不健全、监管不效率的环境中,从公司内部的治理结构和制度出发寻求一种新的监管和治理方式是否更为效率呢?本文从公司法的理论依据与中国食品安全企业的社会环境角度出发,探讨公司更多承担社会责任的必要性,扩大董事、高管对消费者的注意义务的可能性,并提出一些可行的建议。
