国际上习惯将兼并和要约收购合在一起使用,统称为M&A,在我国称为并购。即企业之间的兼并与收购行为,是企业法人在平等自愿、等价有偿基础上,以一定的经济方式取得其他法人产权的行为。企业并购是现代企业成长过程中的一种重要的战略成长模式,中外企业并购更是随着全球化的进行而得到越来越多的青睐,但是最后成功的却寥寥无几。本论文以康师傅与百事中国的瓶装饮料生产商联盟为着眼点深入探讨中外企业并购。
Internationally used to merger and takeover offer together, collectively referred to as M & A, in our country called mergers and acquisitions. That is, mergers and acquisitions between enterprises, is an act of obtaining legal rights of other legal persons with certain economic means on the basis of equal and voluntary compensation and equal compensation. Mergers and acquisitions (M & A) are an important strategic mode of growth in the growth of modern enterprises. Mergers and acquisitions by Chinese and foreign enterprises are gaining more and more favor with the progress of globalization, but few succeed in the end. This thesis explores the mergers and acquisitions of Chinese and foreign enterprises with the focus of Master’s and Pepsi’s bottled beverage manufacturers in China.
