特许经营作为一种商业经营模式尚无统一的定义,但其本质是一种合同关系已成为公论。特许经营具有如下法律特征:(一)特许经营双方当事人是独立的法律主体;(二)特许经营是一种以特许权的授予为基础的合同关系;(三)特许经营以特定的经营体系或经营模式为特征;(四)受许人的特许经营业务受到特许人的控制,特许经营中的反垄断问题主要涉及到特许经营协议中的指定供货、价格控制、竞业禁止、地域限制等条款。特许经营中的消费者保护问题应以受许人自己责任为原则,特许人连带责任为例外。
There is no uniform definition of franchising as a business model, but its essence is that a contractual relationship has become a public opinion.
