企业管理的难点在于委托代理中经理行为的监督考核,原因在于代理人的利益与委托人利益的不完全一致性。解决的根本办法是改革对代理人(经理)的激励办法,实行国家外部监督条件下的职工股东监督,实行经理资格管理,市场配置,股份化激励,强化经理的危机意识。
The difficulty of enterprise management lies in the supervision and evaluation of manager’s behavior in entrusted agency because the interests of the agent and the interests of the principal are not completely consistent. The fundamental solution to this problem is to reform incentives for agents (managers), supervise worker’s shareholders under the supervision of state supervisors, and practice manager qualification management, market allocation and stock-based incentives to reinforce managers’ sense of crisis.
