食品安全攸关民生,而企业惯以商业秘密为由,抵触公开配方成分和具体比例等相关信息——经营利益与公共健康权、知情权孰轻孰重?本文以某食用油企业率先公开油品配方比例为契,从《反不正当竞争法》的视角剖析了商业秘密的构成要件和具体保护范围的界定标准,并进一步阐述了基于公共利益需要对商业秘密权利限制的合理性、合法性。本文结合中国当前的立法现状,并借鉴美、加、俄等国在此领域的相关立法和判例,初步探讨创设商业秘密强制披露制度的法律框架,包括制度创设的考量因素、对商业秘密权利人的补偿机制和拒不公开的法律责任,及对公开后其他不正当竞争行为的后续规制措施,对未来如何有效完善商业秘密权利限制制度作出一些有益构想。

In this paper, From the perspective of “Anti-Unfair Competition Law”, this paper analyzes the composition of commercial secrets and the definition of the specific scope of protection, and further elaborates the rationality and legality of the restrictions on trade secrets based on public interests . Based on the status quo of China’s current legislation and drawing lessons from the relevant legislation and jurisprudence of the United States, Canada and Russia in this field, this article tentatively explores the legal framework for the establishment of compulsory disclosure system of commercial secrets, including the considerations of system creation, Compensation mechanism and refusal to disclose legal liability and follow-up regulatory measures for other acts of unfair competition after the disclosure, and make some beneficial suggestions on how to effectively improve the restriction system of commercial secrets in the future.
